Terms of Service

1. Acceptance of Terms

By accessing or using the zoxaAI platform, including our website, APIs, embedded widgets, dashboard, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Definitions

  • "Platform" means the zoxaAI voice AI platform, including the dashboard, APIs, SDKs, embedded widgets, and all associated infrastructure.
  • "Agent" means an AI-powered voice agent created and configured by you through the Platform.
  • "End User" means any person who interacts with an Agent through voice calls, web widgets, or other channels.
  • "Customer Data" means all data you upload to or generate through the Service, including call recordings, transcripts, campaign contacts, knowledge base documents, and agent configurations.
  • "Organization" means the entity or team account under which you access the Service.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials, API keys, and all activity under your account.
  • You must promptly notify us at [email protected] of any unauthorized use of your account.
  • You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.

4. Use of the Service

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include any right to sublicense, resell, or redistribute the Platform itself.

4.2 Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or the rights of any third party.
  • Make calls without proper consent or in violation of telemarketing, robocall, or do-not-call regulations (including TCPA, GDPR, and equivalent local laws).
  • Engage in fraud, impersonation, phishing, or deceptive practices through AI agents.
  • Transmit malware, viruses, or any harmful code through the Platform.
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
  • Reverse-engineer, decompile, or disassemble any part of the Platform (except as permitted by law).
  • Harass, threaten, or abuse End Users or any other persons through AI agents.
  • Interfere with or disrupt the integrity or performance of the Service.

4.3 AI Disclosure Requirements

Where required by applicable law, you must disclose to End Users that they are interacting with an AI agent and not a human. You are solely responsible for compliance with AI transparency and disclosure requirements in your jurisdiction.

5. Customer Data

5.1 Ownership

You retain all rights, title, and interest in your Customer Data. We do not claim ownership of any data you upload to or generate through the Service.

5.2 License to Process

You grant us a limited license to host, process, transmit, and store your Customer Data solely as necessary to provide the Service. This includes transmitting data to third-party AI providers (for speech-to-text, language models, and text-to-speech) and telephony providers as configured by you.

5.3 Your Responsibilities

  • You are responsible for the legality, accuracy, and appropriateness of all Customer Data.
  • You must obtain all necessary consents before uploading personal data (including contact lists for outbound campaigns).
  • You are responsible for complying with call recording consent laws in all applicable jurisdictions.
  • You must maintain appropriate backups of your data. While we take reasonable measures to protect your data, we are not a backup service.

6. Third-Party Services

The Service integrates with third-party providers for AI processing, telephony, and analytics. Your use of these integrations is also subject to the respective third-party terms and privacy policies. We are not responsible for:

  • The availability, accuracy, or output quality of third-party AI models.
  • The practices or policies of third-party telephony, speech, or analytics providers.
  • Any charges, fees, or costs incurred from third-party provider usage.

You are responsible for configuring your own third-party provider accounts and ensuring your use complies with those providers' terms.

7. API Usage

  • API keys are provided for programmatic access to the Service. You must keep your API keys confidential and not share them publicly.
  • We may impose rate limits and usage quotas to ensure fair use and platform stability.
  • We reserve the right to revoke API keys if we detect abuse, excessive load, or violation of these Terms.
  • You are responsible for all API calls made with your keys, whether authorized by you or not.

8. Billing & Payment

  • Usage is metered across AI processing (speech recognition, language models, voice generation), telephony minutes, and storage. You will be billed according to the pricing plan applicable to your account.
  • Fees are non-refundable except as required by applicable law or as explicitly stated in your plan.
  • We reserve the right to modify pricing with 30 days' advance notice. Continued use after the effective date of a price change constitutes acceptance.
  • Overdue payments may result in suspension or termination of your access to the Service.

9. Intellectual Property

  • The Platform, including its software, design, documentation, trademarks, and all related intellectual property, remains the exclusive property of zoxaAI.
  • You may not use our trademarks, logos, or brand assets without prior written consent.
  • Feedback or suggestions you provide about the Service may be used by us without any obligation to compensate you.

10. Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
  • We may perform scheduled maintenance, deploy updates, or experience downtime due to factors beyond our control (including third-party provider outages).
  • We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WE DO NOT WARRANT THAT AI AGENT RESPONSES WILL BE ACCURATE, COMPLETE, OR APPROPRIATE FOR ANY PARTICULAR USE CASE. YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING AI-GENERATED OUTPUTS.
  • IN NO EVENT SHALL ZOXAAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
  • OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless zoxaAI and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data; (d) your violation of any applicable law or regulation; or (e) your AI agents' interactions with End Users.

13. Termination

  • You may terminate your account at any time by contacting us at [email protected].
  • We may suspend or terminate your access immediately if you violate these Terms, engage in prohibited conduct, or if required by law.
  • Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period to comply with legal obligations, after which it will be deleted.
  • Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

14. Governing Law & Dispute Resolution

  • These Terms are governed by and construed in accordance with the laws of the jurisdiction in which zoxaAI is incorporated, without regard to conflict of laws principles.
  • Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
  • If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration authority in the governing jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. For significant changes, we may also notify you via email. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.

16. General Provisions

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and zoxaAI regarding the Service.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
